RelayHitch LLC
Terms of Service
- Effective date:
- August 30, 2026
- Version:
- revenue-manager-terms-2026-08-30-v1
These Terms of Service (the “Terms”) are a binding agreement between RelayHitch LLC (“RelayHitch,” “we,” “us,” or “our”) and the business or organization that accepts them (“Customer” or “you”). They govern your access to RelayHitch Revenue Manager and related websites, applications, support, and services (collectively, the “Service”).
1. Acceptance and authority to agree
You accept these Terms by creating an account, checking an acceptance box, placing an order, or using the Service. If you accept for a company or other organization, you represent that you have authority to bind it. If you do not agree, do not use the Service. The order page, checkout disclosure, or other written order accepted by you is an “Order” and is incorporated into these Terms. If an Order conflicts with these Terms, the Order controls only for the specific commercial term it addresses.
2. Eligibility and business use
The Service is offered for lawful business use by persons at least 18 years old. You are responsible for your users, their permissions, and all activity under your account. You must provide accurate account information, keep credentials confidential, and promptly notify us at support@relayhitch.com of suspected unauthorized access.
3. Revenue Manager
Revenue Manager is software that helps service businesses identify and supervise legitimate commercial value already present in their operations. Its skills are Receivables Recovery, Opportunity Recovery, Sold-Work Recovery, Capacity Recovery, and Reactivation / Recall. Depending on configuration and available source data, the Service may organize Revenue Threads and Revenue Cases, evaluate source evidence, recommend next actions, prepare communications or provider actions, request approval, monitor changes, escalate matters for Human Attention, and record economic outcomes.
Features and skill readiness vary. A feature shown in the interface may be observational, recommendation-only, approval-gated, unsupported by a connected provider, or disabled by a safety control. RelayHitch does not promise that every skill or provider action is available for every Customer.
4. Entitlement, authority, provider readiness, and consent are separate
Paying for the Service creates a software subscription entitlement only. It does not by itself authorize any communication, SMS, customer contact, Jobber write, scheduling change, provider action, or other live effect. It also does not raise a skill or action to Operate authority and does not establish recipient consent.
A live effect may occur only when the applicable owner authority, company policy, provider capability and readiness, fresh source check, recipient consent, suppression, timing, risk, and product safety requirements are satisfied. Unknown or conflicting state may cause the Service to wait, reject an action, or request Human Attention. You remain responsible for the authority you grant and the policies you configure.
5. AI-assisted features and human judgment
The Service uses deterministic rules and, for some functions, artificial-intelligence models to classify communications, explain cases, extract dates, rank opportunities, select a proposed strategy, or draft content. Model output can be incomplete or wrong. Model output is treated as a proposal, does not determine legal authority, and cannot directly execute an irreversible provider action. Deterministic policy and authority checks apply before any material action.
You must review recommendations and approvals with judgment appropriate to your business. Do not rely on the Service as legal, tax, accounting, financial, employment, safety, or other professional advice. RelayHitch does not guarantee recovered revenue, converted opportunities, filled capacity, collections, payment, or any other business outcome.
6. Connected systems and Jobber
You may authorize the Service to access third-party systems, including Jobber. You instruct us to access and process authorized data from those systems to provide the Service. Connected systems remain governed by their own terms and may change, limit, or discontinue their APIs. You are responsible for having the rights and permissions needed to connect an account and provide its data to RelayHitch.
RelayHitch is an independent service and is not endorsed by Jobber. A connection does not authorize a write or customer communication. Provider events may wake a case, but the Service may reread the source before a material action. If a provider does not support a requested action or the necessary scope is unavailable, the Service may prepare a handoff or mark the action unsupported rather than pretend it was completed.
7. Customer data and instructions
Customer Data means information submitted to, stored in, or made available to the Service by or for Customer, including data from connected systems. As between the parties, Customer retains its rights in Customer Data. Customer grants RelayHitch a nonexclusive right to host, copy, process, transmit, and display Customer Data as needed to provide, secure, support, and improve the Service and to comply with law.
Customer represents that it has all rights, notices, permissions, and lawful bases needed for Customer Data and its instructions. Customer must not submit payment-card numbers, account passwords, government identification numbers, protected health information, or other data the Service is not designed to receive. The Privacy Policy explains our data practices.
8. Communications, messaging, and recipient consent
Customer is the sender and business decision-maker for communications sent on its behalf. Before authorizing any communication, Customer must ensure that the content, recipient, channel, timing, and purpose comply with applicable law, carrier rules, provider policies, and Customer commitments. Where consent is required, Customer must possess and retain affirmative consent that applies to the specific business, recipient, channel, and use case. Possession of a phone number, source-system contactability, payment for RelayHitch, or a sender-level START response is not by itself use-case consent.
Customer must honor opt-outs, wrong-recipient notices, disputes, complaints, human requests, and other suppression signals. Customer may not use the Service for spam, unlawful telemarketing, deceptive outreach, purchased lists, or communications that misrepresent the sender. Revenue Manager live messaging remains separately gated even when normal messaging infrastructure is included in a subscription. Additional terms for enabled SMS are in the SMS Terms.
9. Subscription, price, and automatic renewal
The Revenue Manager Founding Plan is $499 USD per month, recurring, with no setup fee. Applicable taxes may be added. The subscription automatically renews each month until canceled. Before checkout, we display the recurring amount, renewal cadence, cancellation timing, refund posture, and any applicable tax. If a later Order displays a different price or plan, that Order governs prospectively after your acceptance.
Normal messaging infrastructure is intended to be included in the plan, but payment does not guarantee provider registration, sender availability, delivery, recipient eligibility, or activation of communications. Any materially different pass-through or usage charge requires separate disclosure or agreement.
10. Billing authorization, taxes, and failed payments
You authorize RelayHitch and its payment processor, Stripe, to charge your selected payment method for recurring fees and applicable taxes. You must keep billing and payment information current. Prices exclude taxes unless stated otherwise. You are responsible for sales, use, value-added, withholding, and similar taxes associated with your purchase, except taxes based on RelayHitch's net income. Tax treatment may depend on your billing address and tax information.
If a payment fails, we or Stripe may retry it and notify you. The current product allows a seven-day payment grace period. During that period, access may continue with a payment warning. After the grace period, access may be locked, read-only, limited to billing functions, or suspended until payment succeeds. We do not promise that a grace period will apply where fraud, abuse, legal risk, or provider requirements require earlier action.
11. Cancellation and refunds
You may cancel at any time through the Billing Portal, the billing settings in the Service, or by contacting support@relayhitch.com. Cancellation takes effect at the end of the current paid billing period. You retain subscription access through that date unless the account is separately suspended or terminated for cause. Deleting or disconnecting a provider account does not automatically cancel the subscription.
Payments are non-refundable and we do not provide credits for partial billing periods, unused time, or unworked opportunities, except where required by law or expressly approved by RelayHitch. This policy does not limit nonwaivable rights. You remain responsible for charges incurred before cancellation becomes effective.
12. Acceptable use
You will not, and will not permit another person to:
- use the Service or Customer Data unlawfully, fraudulently, deceptively, or to harm another person;
- send spam, unlawful marketing, abusive content, or communications without required authority or consent;
- misrepresent prices, payment status, schedule availability, services, identity, affiliation, or customer intent;
- circumvent consent, suppression, policy, authority, provider-readiness, security, rate-limit, or access controls;
- probe, disrupt, overload, scrape, reverse engineer, or gain unauthorized access to the Service, except to the extent a restriction is prohibited by law;
- upload malware, credentials, or data you are not authorized to process; or
- use outputs to make unlawful discriminatory, high-impact, or solely automated decisions about individuals.
13. Security and account responsibilities
RelayHitch uses administrative, technical, and organizational measures designed to protect the Service. No system is completely secure. Customer is responsible for appropriate user access, devices, endpoint security, source-system permissions, and review of actions taken under its account. Customer must promptly revoke access for users who no longer need it and cooperate with reasonable incident-response steps.
14. Intellectual property and feedback
RelayHitch and its licensors own the Service, software, interfaces, documentation, underlying methods, and all related intellectual-property rights. Subject to these Terms, RelayHitch grants Customer a limited, nonexclusive, nontransferable right to use the Service during the subscription for its internal business purposes. No rights are granted except as expressly stated.
If you provide feedback, you grant RelayHitch a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or obligation, provided we do not identify you publicly as its source without permission.
15. Third-party services
The Service interoperates with providers such as Jobber, Stripe, communications providers, hosting and database providers, analytics providers, and AI model providers. RelayHitch does not control third-party services and is not responsible for their terms, availability, security, changes, or acts. Third-party failure may delay, disable, or invalidate a Service action. You remain responsible for your separate accounts and agreements with providers you choose to connect.
16. Changes, availability, and beta features
We may modify the Service, add or remove functionality, impose reasonable limits, or stop supporting a provider integration. We do not guarantee uninterrupted or error-free availability. Preview, beta, recommendation-only, or gated features may be incomplete, change without notice, and be suspended at any time. We will not materially reduce a paid Service solely to avoid our obligations, but third-party changes and safety requirements can affect availability.
17. Suspension and termination
We may suspend or limit access when reasonably necessary to address nonpayment, security risk, unlawful conduct, abuse, provider requirements, harm to another person, or a material breach of these Terms. Where practicable, we will give notice and an opportunity to cure. Either party may terminate for an uncured material breach after reasonable written notice. RelayHitch may terminate the Service or these Terms on notice, subject to any refund or continued-access rights required by law.
When entitlement ends, live worker effects stop and access may become read-only or unavailable. Disconnecting Jobber removes or revokes stored connection credentials and stops future reads, but does not necessarily erase source-backed case history, acceptance records, billing records, audit evidence, suppression records, or information retained for security, disputes, legal compliance, backup integrity, or legitimate business records. The Privacy Policy describes deletion requests and retention.
18. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” RelayHitch disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and noninfringement. RelayHitch does not warrant that the Service will find, recover, convert, schedule, invoice, or collect any amount; that source data or model output is accurate; that a provider will support an action; or that the Service will be uninterrupted, secure, or error-free.
Some jurisdictions do not allow certain disclaimers, so these exclusions apply only to the extent permitted by law. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
19. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business interruption, arising from or related to the Service, even if advised of the possibility. RelayHitch's aggregate liability arising from or related to the Service will not exceed the fees paid or payable by Customer to RelayHitch for the Service during the twelve months before the event giving rise to liability.
These limits do not apply to liability that cannot be limited by law. The allocation of risk in this section is an essential basis of the bargain.
20. Indemnification
Customer will defend, indemnify, and hold harmless RelayHitch and its officers, employees, and agents from third-party claims, damages, penalties, costs, and reasonable legal fees arising from Customer Data, Customer's instructions or communications, Customer's products or services, violation of applicable law or provider rules, or Customer's breach of Sections 6 through 8 or 12, except to the extent caused by RelayHitch's breach of these Terms or willful misconduct. RelayHitch will give prompt notice and reasonable cooperation, and Customer may control the defense and settlement, but may not admit fault for or impose a nonmonetary obligation on RelayHitch without consent.
21. Governing law and disputes
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules. Before filing a claim, each party will make a good-faith effort to resolve the dispute by giving written notice and allowing 30 days for discussion. If the dispute is not resolved, it may be brought in a state or federal court with jurisdiction in North Carolina, and each party consents to personal jurisdiction there. These Terms do not include mandatory arbitration or a class-action waiver. Either party may seek urgent injunctive relief for misuse, security, or intellectual-property harm.
22. General terms
Neither party may assign these Terms without the other's consent, except that RelayHitch may assign them in connection with a merger, acquisition, reorganization, or sale of substantially all relevant assets. Customer may not transfer an account to another legal entity without our consent. Neither party is liable for delay caused by events beyond its reasonable control. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains effective. Failure to enforce a provision is not a waiver. These Terms, accepted Orders, and incorporated policies are the entire agreement about the Service and supersede prior proposals on that subject.
23. Changes to these Terms
We may update these Terms. We will publish the new effective date and version and provide notice of material changes as appropriate. A prior acceptance record remains tied to the exact version accepted; it is not rewritten to say that you accepted a later version. Where new consent is required, we will request it before treating the later version as accepted. Continued use after an update is effective may constitute acceptance where law permits and after appropriate notice.
